As a B team, can they promote?  Or does that only become an issue for D1?  Not sure if there are any restrictions on that sort of thing.

Yes. They can promote as long as the senior team isn't in that division. 

Last year Villarreal's B team was in La Liga 2. But they did get relegated to the 3rd tier
